Keaton refers McManus, head of an ad agency called Abaccus, to Vrea. McManus resells Vrea’s web development services under the Abaccus brand to Keyser Soze. The end customer in terms of services provided (E) is Keyser Soze. The services are provided under the Abaccus brand (B). For Vrea, the end customer in terms of billing is Abaccus/McManus (C).

Vrea is not party to the rate negotiated between Abaccus and Keyser Soze. Vrea’s payment from Abaccus is not subject to the payment coming to Abaccus from Keyser Soze, and will be made based on pre-decided terms. Keaton (P) will get a referral pay from the amount billed by Vrea to Abaccus.

Keaton refers McManus, the head of Abaccus, to Vrea. McManus refers his friend Fenster, the head of Fench. Fenster was interested in the business and was persuaded into starting a web agency called Fench, reselling Vrea’s services to his end customer Keyser Soze.

The end customer in terms of services provided (E) is Keyser Soze. The services are provided under the Fench brand (B). Therefore, for Vrea, the end customer in terms of billing is Fenster/Fench (C).

Irrespective of the arrangement between Fench and Keyser Soze, Vrea is entitled to payment from Fench. Keaton, being the first entity in this referral chain, is entitled to a referral pay (P) from Vrea. McManus and Keaton may have their own referral sharing arrangement, which Vrea is not a party to.

Now, Fenster, who was referred by McManus, has done some successful projects with Vrea. Fenster persuades his brother Hockney, who owns a design agency called Honk Designs, to expand his services as a web agency. Hockney agrees and uses Vrea’s services under his brand (B) to cater to the end customer Keyser Soze (E). The billed customer in this case is Fenster/Fench (C).

This payment from Fenster to Vrea is not subject to the terms negotiated between Hockney and Keyser Soze. McManus, having first referred Fenster to Vrea, is entitled to a referral pay from Vrea (P). There may be a referral pay sharing agreement between McManus and Keaton, which Vrea is not a party to.

Sometime later, Keaton starts selling Vrea’s services to other agencies as his own team. In such projects, Vrea’s services are presented under the branding of these other agencies (B). Vrea will keep billing Keaton (C) for the services provided, irrespective of the arrangement between Keaton, the end customer, and other intermediaries.
